1. Why should foreign teachers register when teaching tutoring?

According to Circular 29/2024/TT-BGDDT From February 14, 2025, extra teaching and learning outside of school will be as follows:

• Organizations or individuals organizing tutoring and extra-learning activities outside of school that collect money from students (hereinafter referred to as tutoring establishments) must comply with the following requirements:
  • Register your business according to the provisions of law;
  • Publicize on the electronic information portal or post at the place where the tutoring facility is headquartered about the subjects being taught; Extra teaching time for each subject by each grade level; location, form, and time of organizing extra teaching and learning; list of tutors and tuition fee rates before enrolling tutors and extra classes (according to Form No. 02 in the Appendix attached to Circular 29/2024/TT-BGDDT).
• Those who teach outside of school must have good moral qualities; Have professional capacity appropriate to the subject involved in tutoring.
• Teachers who are teaching at schools participating in extra-teaching outside of school must report to the Principal or Director or head of the school (hereinafter referred to as the Principal) on the subject, location, form, and time of participating in extra-teaching (according to Form No. 03 in the Appendix attached to Circular 29/2024/TT-BGDDT).

Thus, business registration for tutoring activities, even small ones, is a mandatory regulation

2. Model of opening extra classes

According to current regulations, yes 02 forms Business registration when organizing tutoring:

1. Register for tutoring according to the business household registration model;
2. Register for private tutoring under the company model.

However, foreigners do not have the right to register business households according to Vietnamese law, so foreigners who want to organize private tutoring outside of school must register under the business model according to the law on enterprises.

3. Document components and authority to register tutoring business according to the company model

Decree 01/2021/ND-CP Regulations and documents for opening a tutoring center include the following documents: 

• Application for business registration of tutoring and tutoring company.
• Charter of the tutoring company.
• List of members (for limited liability companies) or list of shareholders (for joint stock companies).
• Power of attorney (if the applicant is not the legal representative of the company).
• Valid notarized copy of CCCD/passport of:

• The legal representative of the tutoring company.
• Members/shareholders contribute capital to open a tutoring company.
• Authorized person submits application to open a tutoring company (if any).

The Department of Planning and Investment of the province/city where the tutoring company is headquartered is the agency that receives and processes tutoring business registration documents according to the company model.

4. Processing time

Processing time: 03 – 05 working days.

5. Penalty for violations

In case, an individual/organization opens a tutoring class, tutors at home, registers to open a tutoring center, tutors under the individual business model or enterprise model but does not complete business registration procedures, they will be subject to administrative sanctions according to the provisions of law. Accordingly:

• Business model: Fine from 50,000,000 VND – 100,000,000 VND; It is mandatory to register a business according to the law.
• Individual business model: Fine from 5,000,000 VND – 10,000,000 VND; Must register to establish business households according to law.

6. Note

• Foreigners who want to teach private tutoring must register their business under the company model. If you want to establish a company, you must carry out procedures to apply for an Investment Registration Certificate according to the provisions of law.
• The procedure for opening a tutoring class under the business model is different from the procedure for applying for a license to establish a foreign language center for individuals and organizations establishing a foreign language center.
