Article 42 of the 2020 Enterprise Law stipulates the necessary conditions for establishing a business in Vietnam. Accordingly, organizations or individuals intending to establish a business must ensure they have full civil capacity and are not subject to any prohibitions on establishing businesses as per the law. Additionally, the business must have a name, a registered office address, and legal business activities.

Clause 8 of Article 3 of the 2023 Housing Law defines the concept of housing, emphasizing that housing is a construction that can be used for residence. Housing can include various forms such as individual houses, apartments, collective housing, and other types as regulated by housing laws. These regulations not only provide a legal basis for business activities but also ensure the rights of citizens in the housing sector.

A business is an organization with a specific name, assets, and a transaction office, established or registered in accordance with the law for the purpose of conducting business.

II. Regulations Related to the Address of the Company’s Head Office

The 2023 Housing Law clearly prohibits the use of apartments as offices or the use of apartments for non-residential purposes. In cases where apartments are allowed for business purposes, the enterprise must provide documentation proving that the registered office address is not an apartment used for residence when completing the business registration process. These documents include the project approval decision from the competent state authority, which must explicitly state that the registered office of the enterprise does not belong to a residential apartment. Furthermore, the enterprise needs to obtain a confirmation letter from the project investor or the apartment management board, affirming that the intended office address is not a residential apartment. Additionally, the transfer contract or lease agreement for the office, along with confirmation from the local government, must also be provided to clarify that the office address does not reside within a residential apartment.

III. Can One Address Be Registered for Multiple Businesses?

The head office of a business located in Vietnam serves as the official contact address and is determined according to the administrative boundaries. This address must include a telephone number, fax number, and email if applicable. According to regulations, the head office address of the enterprise must be situated within the territory of Vietnam and be identified according to administrative units such as communes, wards, districts, or provinces. This means that the office must be clearly defined according to administrative levels and have a specific address, including house number, alley, street, or road for easy differentiation. Therefore, one address can be registered as the head office for multiple companies.
